Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Walkzilla mobile application ("App"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Zilla Inc ("we," "us," or "our"). If you do not agree to these Terms, you must not use the App.

2. Description of Service

The App provides tracking of walking metrics, including steps, pace, distance, and routes, utilizing your device's GPS functionality. Users must grant location permissions for the App to operate as intended. The App may also include features for voluntary check-ins at partnered locations.

3. User Obligations

As a condition of your use of the App, you represent and warrant that:

• You are at least 13 years of age or the age of majority in your jurisdiction;
• Check-ins at partnered stores or restaurants are entirely voluntary;
• You will comply with all applicable laws and not use the App for any unlawful purpose;
• You are solely responsible for your safety and well-being while engaging in physical activities tracked by the App.

4. No Medical Claims

The App is for informational and entertainment purposes only and does not provide medical, health, or nutritional advice. We make no representations or warranties regarding weight loss, fitness improvements, or any health outcomes. Consult a qualified healthcare professional before starting any exercise program.

5. Affiliation Disclaimer

Zilla Inc has commercial partnerships with certain stores and restaurants for advertising purposes. However, we are not affiliated with, nor do we endorse, their views, standards, products, or services. Any interactions with these partners are at your own risk.

6. User Content

You retain all ownership rights in content you submit to the App, including text, photos, and other materials ("User Content"). By submitting User Content, you grant Zilla Inc a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such content in connection with the App and our business operations.

7. Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our privacy practices.

8. Termination

We reserve the right to suspend or terminate your account and access to the App at any time, without prior notice or liability, for any reason, including but not limited to violations of these Terms, misuse of the App, or actions that may harm the integrity or security of the App.

9. Limitation of Liability<

To the maximum extent permitted by applicable law, Zilla Inc, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the App, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the past twelve months, if any.

10. Intellectual Property

All content, trademarks, logos, software, and other intellectual property in the App are owned by Zilla Inc or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes only. Any unauthorized use may violate copyright, trademark, and other laws.

11. Updates and Changes

We may modify these Terms or the App at any time. We will provide notice of material changes as required by law. Your continued use of the App after any changes constitutes your acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For users residing in Washington, DC, any disputes shall be resolved in accordance with the laws of the District of Columbia. You agree to submit to the exclusive jurisdiction of the courts in those locations.
