Terms of Service

Section A: Terms for Mobile App Users

1. Acceptance of Terms

By downloading, installing, or using the Walkzilla mobile application ("App"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Zilla Inc ("we," "us," or "our"). If you do not agree to these Terms, you must not use the App.

2. Description of Service

The App provides tracking of walking metrics, including steps, pace, distance, and routes, utilizing your device's GPS functionality. Users must grant location permissions for the App to operate as intended. The App may also include features for voluntary check-ins at partnered locations.

3. User Obligations

As a condition of your use of the App, you represent and warrant that:

  • You are at least 13 years of age or the age of majority in your jurisdiction;
  • Check-ins at partnered stores or restaurants are entirely voluntary;
  • You will comply with all applicable laws and not use the App for any unlawful purpose;
  • You are solely responsible for your safety and well-being while engaging in physical activities tracked by the App.
4. No Medical Claims

The App is for informational and entertainment purposes only and does not provide medical, health, or nutritional advice. We make no representations or warranties regarding weight loss, fitness improvements, or any health outcomes. Consult a qualified healthcare professional before starting any exercise program.

5. Affiliation Disclaimer

Zilla Inc has commercial partnerships with certain stores and restaurants for advertising purposes. However, we are not affiliated with, nor do we endorse, their views, standards, products, or services. Any interactions with these partners are at your own risk.

6. User Content

You retain all ownership rights in content you submit to the App, including text, photos, and other materials ("User Content"). By submitting User Content, you grant Zilla Inc a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such content in connection with the App and our business operations.

7. Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our privacy practices.

8. Termination

We reserve the right to suspend or terminate your account and access to the App at any time, without prior notice or liability, for any reason, including but not limited to violations of these Terms, misuse of the App, or actions that may harm the integrity or security of the App.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Zilla Inc, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the App, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the past twelve months, if any.

10. Intellectual Property

All content, trademarks, logos, software, and other intellectual property in the App are owned by Zilla Inc or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes only. Any unauthorized use may violate copyright, trademark, and other laws.

11. Updates and Changes

We may modify these Terms or the App at any time. We will provide notice of material changes as required by law. Your continued use of the App after any changes constitutes your acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For users residing in Washington, DC, any disputes shall be resolved in accordance with the laws of the District of Columbia. You agree to submit to the exclusive jurisdiction of the courts in those locations.

Section B: Terms for Merchant Partners (SaaS Platform)

These terms apply to merchants ("you" or "Merchant") participating in Walkzilla's SaaS platform and AI-powered walking rewards marketplace. By signing up, accessing, or using the platform, you agree to be bound by these Terms, which form a legally binding agreement between you and Zilla Inc ("we," "us," or "our"). If you do not agree, you must not use the platform.

1. Program Overview

As a Merchant, you join Walkzilla’s AI-powered walking rewards marketplace. Discounts operate as follows:

  • Fixed Menu Discount: You set a locked percentage off on curated healthy or specialty items.
  • Point-Redeemed Coupons: Users must redeem the full required WalkPoints to unlock the entire discount.
  • AI SmartOffers: Real-time AI-generated offers with no points and no commission.
2. Commission

Commission is 10% or 20% (plan-based) of the pre-discount, pre-tax purchase amount and is charged only when users fully redeem Merchant-funded WalkPoints. AI SmartOffers, Universal Points, and Group Bonus Multipliers carry zero commission. Billing occurs quarterly via Stripe invoice.

3. Pricing Plans & Features
  • Freemium: $0/month with 20% commission on point redemptions.
  • Basic: Monthly fee with 10% commission, including one virtual checkpoint.
  • Premium: Higher monthly fee with 10% commission, more checkpoints, and Smart Point Optimizer.

Pricing is subject to change upon notice. Full details are available in the Merchant dashboard or at walkzillaapp.com/pricing. All fees are auto-billed monthly via Stripe. A one-time 6-month $0 Premium trial begins on App Launch Date and auto-converts unless downgraded.

4. Merchant Obligations
  • Set and honor Fixed Menu Discounts.
  • Honor all valid redemptions and AI SmartOffers.
  • Maintain accurate menus, pricing, and hours.
  • Manage AI SmartOffer guardrails.
  • Comply with all laws and indemnify Walkzilla.
5. Walkzilla Tools & Disclaimers

Walkzilla provides best-effort tools with no guarantees of traffic or revenue. Tools include Point Selector, Smart Point Optimizer, Virtual Checkpoints, AI SmartOffers, SmartSummary, and DriverAnalysis.

6. AI & Content Disclaimer

AI SmartOffers use LLMs and third-party APIs. Walkzilla is not liable for AI-generated content that remains within Merchant-defined guardrails.

7. Term & Termination

Initial term is one year with auto-renewal. Either party may terminate per notice requirements. Permanent business closure carries no penalties.

8. Launch Grace Period

Target launch is March 1, 2026. Full performance begins no later than June 1, 2026. Zero liability for delays.

9. Limitation of Liability

No indirect or consequential damages. Walkzilla’s liability is capped at fees paid in the prior 12 months.

10. General

Governing law is Delaware. Confidentiality applies. Force majeure includes third-party outages. Privacy practices are governed by the Privacy Policy.
